Terms of service
Last updated Oct 29, 2026
These terms are the agreement between Perpetio OÜ, the Estonian company that provides Reachpool, and the business that uses it. Please read them with the Data processing agreement, which is part of them, and our Privacy policy.
1. The agreement
These Terms of Service (the “Terms”) are a binding agreement between Perpetio OÜ (“Reachpool”, “we”, “us”) and the business that orders or uses Reachpool (the “Customer”, “you”). The agreement (the “Agreement”) is made of these Terms, the Data processing agreement (the “DPA”) and any order form, quote or written offer we agree with you, by email included (an “Order”). Where they differ, an Order prevails over these Terms for what it covers, and the DPA prevails over both for the processing of personal data.
You accept the Agreement when you sign or confirm an Order or when you first use the Service, whichever comes first. The person who accepts it for you confirms that they may bind your business.
Reachpool is for businesses only. By accepting, you confirm that you act for the purposes of your trade, business or profession and not as a consumer, so rules that protect only consumers do not apply to the Agreement.
2. Definitions
- “Service”
- Reachpool: the web console (on our domains and on your own domain where you set one up), the API, the cloud browsers and proxies that operate your LinkedIn accounts, the documentation, and our support.
- “Organization”
- Your account on the Service, which holds your workspaces, users, senders and settings.
- “Workspace”
- A part of your Organization kept apart from the others, usually for one of your clients, with its own senders, leads, campaigns and inbox.
- “Sender”
- A LinkedIn account connected to the Service, which the Service operates through a cloud browser and a proxy of its own. One connected Sender is one seat: the unit our plans are priced in.
- “Account Holder”
- The person whose LinkedIn account a Sender is.
- “User”
- A person you give access to your Organization, as an owner, admin, member or client viewer.
- “Customer Data”
- Everything you or your Users put into the Service, or that the Service collects for you through your Senders: leads, profiles, messages, campaigns, labels, notes, and the LinkedIn sessions and browser profiles of your Senders.
- “Credits”
- Units that pay for AI first lines and for finding email addresses, as section 8 describes.
- “LinkedIn”
- LinkedIn Corporation and its affiliates.
3. The Service
We provide the Service as described on our website and in our documentation. The Service changes as we improve it: we may add, change or remove features. If a change materially reduces what you paid for, we will tell you at least 30 days before it applies, and you may end the Agreement before then and receive a refund of fees you prepaid for the time after it ends.
Features we mark as beta or preview are offered as they are, may change or end at any time, and are not covered by section 15’s warranty.
4. Your organization and its users
We set up your Organization with you; there is no public sign-up. Your owners invite Users and give them roles. You are responsible for who you give access to, for what your Users do in the Service, and for removing access people no longer need. Users must be at least 18 years old.
Users sign in with a single-use link sent to their email address or with their Google account; the Service has no passwords. Keep access to those mailboxes and accounts secure, and tell us at once at hello@reachpool.ai if you believe someone has used your Organization without permission.
API keys act for the Workspace they belong to. Keep them secret, revoke any key that may have been exposed, and treat what is done with a key as done by you.
5. LinkedIn accounts
We are not LinkedIn. Reachpool is an independent product. It is not affiliated with, endorsed by or sponsored by LinkedIn. LinkedIn is a trademark of LinkedIn Corporation.
Only accounts you may use. Each Sender must be a genuine LinkedIn account of a real person who has agreed to its use through the Service, and you must have the authority to operate it, whether it belongs to someone on your team or to one of your clients. Do not connect fake profiles or accounts you are not authorized to operate.
How accounts connect. The Account Holder signs in on LinkedIn’s own sign-in page, inside the Sender’s cloud browser. We never ask for a LinkedIn password and never store or log one, and we do not solve CAPTCHAs or other security checks: when LinkedIn asks for one, the Account Holder completes it. We keep the Sender’s session encrypted and use it only to carry out what you set up in the Service.
LinkedIn’s terms and the risk to accounts. LinkedIn’s User Agreement applies to every Sender and its Account Holder, and it restricts the use of third-party software to automate activity on LinkedIn. Using the Service may therefore be against LinkedIn’s terms, and LinkedIn may at any time ask an account for a security check, limit what it can do, restrict or close it, or change its website in ways that stop the Service from working. You decide whether to connect each account, and you and its Account Holder accept that risk for it. You remain solely responsible for making sure your use of LinkedIn complies with LinkedIn’s terms.
What we do to protect accounts. The Service limits each Sender’s daily and weekly actions, warms new Senders up gradually, keeps to each Sender’s working hours, connects each Sender through one fixed proxy in its own country, and pauses a Sender when LinkedIn shows it a warning. You can lower these limits but not raise them above the Service’s ceilings. We publish how often connected accounts are checked or restricted in our account safety report. We may pause actions for a Sender, or for every Sender, when we see a risk to accounts, for example when LinkedIn changes its pages.
What we cannot promise. We do not guarantee that any account will not be checked, limited, restricted or closed by LinkedIn, and section 16 applies to such actions. A restricted Sender is still a seat until you remove it; you can remove a Sender at any time.
6. Acceptable use
You must not use the Service, and must make sure your Users and clients do not use it, to:
- send messages that are unlawful, deceptive, harassing, threatening, defamatory, obscene, discriminatory, or that infringe anyone’s rights;
- contact people who have asked not to be contacted by you or your client: add them to the Service’s exclusion list, which stops every Sender in its scope from contacting them;
- impersonate a person or organization, or mislead anyone about who a message is from or why they are being contacted;
- target people because of their health, ethnic origin, religion or beliefs, political opinions, trade union membership, sex life or sexual orientation, or target children, or put such data into the Service;
- process personal data without a lawful basis, or break the laws that apply to your outreach, including data protection laws (such as the GDPR), direct marketing and anti-spam laws, and consumer protection laws;
- build, sell or share databases of LinkedIn profiles collected through the Service;
- get around the Service’s limits, warm-up or other safety measures, or the security of the Service; or probe, scan or test its vulnerability without our written permission (write to hello@reachpool.ai to report a vulnerability);
- copy, reverse engineer, resell or make the Service available to others, except as section 7 allows;
- upload malicious code, overload the Service, or interfere with other customers’ use of it;
- build a competing product; or
- act for, or for the benefit of, a person or a country under EU, UN or US sanctions.
If you or your Users break this section, we may remove content, pause Senders or suspend access as section 18 describes.
7. Agencies and their clients
Many of our customers are agencies that run outreach for their own clients. You may give a client’s people access to that client’s Workspace as client viewers, and show the Service under your own name, logo, color and domain. Your brand and domain must be yours to use, and you must not present the Service as LinkedIn’s.
Your clients have no agreement with us: you are our customer and you remain responsible for them, for your agreements with them, for their instructions and their use of the Service, and for having their authority over their LinkedIn accounts and data. Where you process personal data on a client’s behalf, you are its processor and we are your subprocessor, as the DPA sets out.
8. AI features and credits
AI first lines and reply labels use third-party AI models, which our Privacy policy names. We send them only what each feature needs, and only to providers that do not use it to train models. AI output can be wrong or inappropriate: review what your campaigns send, and do not rely on reply labels alone. You are responsible for every message your Senders send, including AI first lines.
Each AI first line generated and each email address found uses one Credit. Your plan includes a monthly grant of Credits; unused Credits do not carry over to the next month, have no cash value, and are not refundable.
9. Plans, fees and payment
Our plans are priced per connected Sender per month, at the prices on our pricing page or in your Order. Your plan sets how many Senders, Credits and features you have. Fees are charged in advance for each billing period, monthly unless your Order says otherwise, and the pricing page or your Order sets how Senders added or removed during a period are charged.
Prices are in the currency shown and do not include VAT or other taxes, which we add where the law requires. For business customers in another EU country with a valid VAT number, the reverse charge applies. You pay by card through our payment provider, or by invoice within 14 days of its date, as agreed with you.
If a payment is late, we may charge late interest as Estonian law allows and, if it is still unpaid 14 days after we remind you, suspend the Service until it is paid.
We may change our prices by telling you at least 30 days before the billing period in which the change applies; if you do not agree, you may cancel before then. Fees are not refundable except where these Terms say so or the law requires. A LinkedIn restriction of a Sender is not a reason for a refund.
10. Your data
Your data is yours. You keep all rights in Customer Data. You allow us to host, copy, process, transmit and display it only as needed to provide, secure and support the Service for you, as the DPA permits. We do not sell Customer Data, use it for our own marketing, or share it with other customers.
Personal data. For personal data in Customer Data you are the controller (or a processor for your client) and we are your processor, under the DPA. Our Privacy policy covers the personal data we control ourselves, such as your Users’ account details.
Your responsibilities. You are responsible for the lawfulness of Customer Data and of your outreach: for having a lawful basis to process leads’ data and contact them, for telling them what the law requires you to tell them, for answering their requests, and for having the right to everything you import.
Statistics. We may compile statistics from the use of the Service that identify no customer, User, Sender or lead, such as the counts in our public account safety report, and use them to run, secure and improve the Service.
Support access. Our staff access your Organization only to provide, support and secure the Service. A staff member can view your console as one of your Users only read-only, for at most 30 minutes at a time, after recording a reason, and every such view is logged.
11. Our Service and intellectual property
We and our licensors own the Service, its software, documentation and brand. While the Agreement lasts and you pay your fees, we grant you a non-exclusive, non-transferable right for your Users to use the Service for your business, including your work for your clients. Nothing else passes to you.
If you send us suggestions, we may use them without any obligation to you. We will not name you as a customer in public without your permission.
12. Third-party services
The Service works with services we do not control: LinkedIn, the CRM you connect (such as HubSpot or Pipedrive), Google sign-in and email finders. Your use of them is under their own terms, and we are not responsible for them, their availability or their changes. Connecting a CRM lets us send it the data you choose. If a third party changes or ends what a feature depends on, we may change or end that feature, as section 3 describes.
13. Availability and support
We work to keep the Service available and show its state on our status page, but we do not guarantee that it will be uninterrupted or error-free, and no service level applies unless your Order sets one. We plan maintenance to disturb you as little as we can and announce major maintenance in advance.
We provide support by email at hello@reachpool.ai and through the console’s feedback form, on business days in Estonia.
14. Confidentiality
Each party will keep the other’s non-public information confidential, use it only for the Agreement, and protect it at least as carefully as its own. This does not cover information that is or becomes public through no fault of the receiving party, that it already knew or developed independently, or that it lawfully received from someone else. A party may disclose confidential information where the law or an authority requires it, telling the other party first where it is allowed to. Customer Data is your confidential information. These duties last for the Agreement and five years after it, and for as long as the information is a trade secret or Customer Data that we still hold.
15. Warranties and disclaimers
We will provide the Service with reasonable skill and care, and it will work materially as our documentation describes. If it does not, tell us and we will work to fix it; if we cannot within a reasonable time, you may end the Agreement and receive a refund of fees you prepaid for the time after it ends. This is your remedy for a breach of this warranty.
You confirm that you may enter into the Agreement, that you will use the Service lawfully, and that you have the rights and authority section 5 and section 10 require.
Apart from what this section says, and as far as the law allows, the Service is provided “as is”, without other warranties, express or implied, including of merchantability, fitness for a particular purpose and non-infringement. We do not promise any outreach results, such as acceptance or reply rates, meetings, or the accuracy of email addresses found.
16. Limitation of liability
Neither party is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss, however it arises.
We are not liable for what LinkedIn does to a Sender or its Account Holder (a security check, a limit, a restriction or a closure, and any loss of connections, messages or content that follows), for the consequences of messages you send through the Service, or for third-party services.
Each party’s total liability arising from or in connection with the Agreement is limited to the fees you paid and owe for the Service in the 12 months before the event that gave rise to the claim.
These limits do not apply to your obligation to pay fees, to your indemnity in section 17, to liability for intentional breach or gross negligence, or to any liability that the law does not allow to be limited.
17. Indemnities
You will defend us and hold us harmless against claims by third parties (including LinkedIn, people contacted through the Service, your clients and authorities) arising from Customer Data, from messages sent through your Senders, from your use of LinkedIn accounts, from your clients’ use of the Service, or from your breach of sections 5 to 7 or of the law, and pay the costs and damages that follow.
We will defend you against claims by third parties that the Service, as we provide it, infringes their intellectual property rights, and pay the damages finally awarded. If such a claim is made, we may change the Service so it no longer infringes, obtain the right for you to keep using it, or end the Agreement and refund fees you prepaid for the time after it ends. This does not apply to claims caused by Customer Data, by your changes, or by combining the Service with things we did not provide.
The party claiming under this section must tell the other promptly, let it control the defense and settlement, and give it reasonable help.
18. Term, suspension and termination
Renewal and cancellation. The Agreement starts when you accept it. Your subscription renews automatically for each billing period until it is canceled. An owner can cancel at any time by writing to hello@reachpool.ai; the cancellation takes effect at the end of the current billing period, and fees for that period are not refunded. An Order with a fixed term ends when its term ends unless it says otherwise.
Ending the Agreement. We may end the Agreement by telling you 30 days in advance, and will refund fees you prepaid for the time after it ends. Either party may end it in writing if the other materially breaches it and does not put the breach right within 14 days of being told, or if the other becomes insolvent or goes into liquidation.
Suspension. We may suspend all or part of the Service (a User, a Sender, an API key or a Workspace) at once if you breach section 6, if it is needed to prevent harm to the Service, to other customers, to LinkedIn accounts or to other people, if fees are unpaid as section 9 describes, or if the law or an authority requires it. Where we reasonably can, we will warn you first and keep the suspension as narrow as possible. We will tell you why, and lift it once the cause is resolved.
After the end. Access ends and any fees owed become due. For 30 days after the end, an owner can ask us for an export of Customer Data. After those 30 days we delete Customer Data from the Service, and the backups that still hold it are replaced within a further 14 days. The LinkedIn sessions and browser profiles of your Senders are deleted, and their proxies released, when the Agreement ends, as they are whenever you remove a Sender. We keep only what the law requires us to keep, such as invoices.
Sections that by their nature should survive the end of the Agreement do, including those on fees owed, confidentiality, liability, indemnities and general terms.
19. Changes to these terms
We may update these Terms. We will tell your owners about a material change by email or in the console at least 30 days before it takes effect; changes needed by law, or that do not reduce your rights, may take effect sooner. The date at the top shows the last update. If you do not agree to a change, you may end the Agreement before it takes effect and receive a refund of fees you prepaid for the time after it ends; if you keep using the Service after it takes effect, the new Terms apply.
20. General
Law and courts. The Agreement is governed by the laws of Estonia, without their conflict of law rules and without the UN Convention on Contracts for the International Sale of Goods. Before going to court, the parties will try for 30 days to settle a dispute in good faith. Harju County Court (Harju Maakohus) in Tallinn has exclusive jurisdiction, although either party may seek urgent interim relief in any competent court.
Notices. We send notices to your owners’ email addresses; you send them to hello@reachpool.ai. Email satisfies any requirement that a notice be in writing.
Assignment and subcontracting. You may not transfer the Agreement without our written consent, which we will not unreasonably withhold. We may transfer it to an affiliate or to a successor of our business, telling you. We may use subcontractors and subprocessors and remain responsible for them.
Events beyond control. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as outages or changes of LinkedIn or of hosting and network providers, war, strikes, epidemics or acts of authorities. This does not excuse payment.
The rest. The parties are independent contractors, and no one else, including your clients and Account Holders, may enforce the Agreement. The Agreement is the parties’ entire agreement on its subject. If a provision is found invalid, the rest remains in force. Not enforcing a right does not waive it. The Agreement is in English; any translation is only for convenience.
